PAYMENT TERM:
The Payment Of USD $ 242,500,000.00 (TWO HUNDRED FORTY TWO MILLION, FIVE HUNDRED THOUSAND AMERICAN DOLARS) Shall Be Made By Buyer For The Quantity Of 500,000 MT By Issuing 100% “TT” By Buyer’s Bank, Payable 100% At at discharging port of the buyer AGAINST PRESENTATION OF THE SHIPPING DOCUMENTS TO THE BUYER´S BANK, AND AFTER INSPECTIONS, QUALITY AND QUANTITY THE "SGS" THE DISCHARGE FINAL PORT.
Payment Terms:
1. AS A GUARANTEE SWIFT MT760 (SBLC) AS THE APPENDIX “C” IN THE VALUE OF USD $ 242,500,000.00 (TWO HUNDRED FORTY TWO MILLION, FIVE HUNDRED THOUSAND AMERICAN DOLARS). VALID FOR ONE YEAR AND ONE DAY. FOR THE AMOUNT OF 500,000 METRIC TONS OF MAZUT-100 (GOST 10585-75).
2. EACH SHIPPMENT PAYABLE 100% (HUNDRED PERCENT) AT SIGHT IN THE DISCHARGE PORT BY “TT”. AGAINST PRESENTATION OF THE SHIPPING DOCUMENTS TO THE BUYER´S BANK, AND AFTER INSPECTIONS, QUALITY AND QUANTITY THE "SGS" THE DISCHARGE FINAL PORT. THE FINANCIAL INSTRUMENT MUST BE ISSUED BY TOP 50 (FIFTY) "AA" RATING BANK OR TO BE CONFIRMED BY SUCH BANK TOP.
THIS OPERATION WILL BE REPEATED EVERY MONTH FOR THE LIFE OF THE CONTRACT.
3. THE BUYER MUST SEND PRE-ADVICE OF THE FINANCIAL INSTRUMENT VIA SWIFT MT799 OR MT999 TO THE SELLER´S BANK.
NOTE:
NEITHER SELLER NOR BUYER SHALL CANCEL THIS CONTRACT UPON RECEIVING THE SIGNED, SEALED AND NOTARIZED CONTRACT, IN THE CASE OF CANCELLATION OF THIS CONTRACT BY EITHER SELLER OR BUYER, EITHER PARTY WHO CANCELS THE CONTRACT SHALL PAY TO OTHER PARTY THE AMOUNT OF 2% OF TOTAL CONTRACT VALUE.
LOADING TIME: 15-25 DAYS AFTER THE RECEIPT, ACCEPTANCE AND CONFIRMED OF FINANCIAL INSTRUMENT BY THE SELLER´S BANK.

PROCEDURES:

3) Buyer accepts Proforma Commercial Invoice, sign and seal. After Buyer initial transmitions by SWIFT with MT799 or MT999 (pre-advice) whICH is free. After Seller bank answer, then the Buyer will ISSUE AND SEND the Guarantee VIA SWIFT "SBLC-MT760" within up 72 Hours;
4) When the Seller’s Bank receives the SWIFT, the supplier can start with the loading procedures and the titles can be transferred to the Buyer. At the same time, the Seller will inform : IMO number and nationality of the vessel so that the Buyer can monitor the delivery of the commodity.
NOTE:
IT IS POSSIBLE TO SELL ONLY IF THE DOCUMENTATION IS CORRECT, COMPLETE AND ACCORDING TO THE INTERNATIONAL LAWS (ICC AND BANKING).
5) Buyer can be present at the SGS inspections in the loading port and destination port (on his own expenses). The Seller won’t interfere when the commodity is being discharged, because all the inspections are monitored by the Seller’s Bank, hired by the Seller in order to conduct and monitor the operations being done from Bank to Bank.
6) All the financial instruments must be "IRREVOCABLE", with payment at the discharge port, if the "BG" is accepted by the Seller;
7) Upon arrival at the port of discharge, and (after the succesfull tests are issued, such as : "Dip Test" and "SGS" Report LIFTABLE), the Buyer will have to release payment by “TT” to the Seller’s Bank within 24 hours; the financial documents must be confirmed by a Top 50 bank. And as soon as the Seller receives payment, the Seller’s Bank will pay the commissions, according to what was stated in Consultancy fees in the (NCNDAs/IMFPA/SUB-IMFPA) what will be paid simultaneously by the Seller Bank upon closure of each lift.

TOTAL QUANTITY OF MAZUT-100 (GOST 10585-75) PURCHASE TO BE 6,000,000 MT (SIX MILLION METRIC TONS) “+/-5%” DELIVERED OVER SHIPMENTS / VESSELS, WITH POSSIBLE ROLLS AND EXTENSIONS SUBJECT TO MUTUAL CONSENT, COST, INSURANCE, FREIGHT (C.I.F.) AS PER CONTRACT AND SHALL BE DELIVERED UNDER THE FOLLOWING TERMS AND CONDITIONS:
THE BASIS DELIVERY FOR AT SHIPMENT IS 500,000 MT (FIVE HUNDRED THOUSAND METRIC TONS) IN 1ST MONTH, AFTER CHARGING, MORE "(x11) ELEVEN MONTHS" WITH 500,000 MT. (FIVE HUNDRED THOUSAND METRIC TONS) EACH, (+/- 5%), ONE VESSEL, AND DELIVERY SHALL LOADING 15 TO 25 (FIFTEEN TO TWENTY-FIVE) DAYS AFTER RECEIPT AND CONFIRMATION OF AN OPERATIVE FINANCIAL INSTRUMENT ACCEPTABLE TO THE SELLER, AND ISSUED WITHIN THE STATED TIME.

3) Buyer accepts Proforma Commercial Invoice, sign and seal. After Buyer initial transmitions by SWIFT with MT799 or MT999 (pre-advice) whICH is free. After Seller bank answer, then the Buyer will ISSUE AND SEND the Guarantee VIA SWIFT "SBLC-MT760" within up 72 Hours;
4) When the Seller’s Bank receives the SWIFT, the supplier can start with the loading procedures and the titles can be transferred to the Buyer. At the same time, the Seller will inform : IMO number and nationality of the vessel so that the Buyer can monitor the delivery of the commodity.
NOTE:
IT IS POSSIBLE TO SELL ONLY IF THE DOCUMENTATION IS CORRECT, COMPLETE AND ACCORDING TO THE INTERNATIONAL LAWS (ICC AND BANKING).
5) Buyer can be present at the SGS inspections in the loading port and destination port (on his own expenses). The Seller won’t interfere when the commodity is being discharged, because all the inspections are monitored by the Seller’s Bank, hired by the Seller in order to conduct and monitor the operations being done from Bank to Bank.
6) All the financial instruments must be "IRREVOCABLE", with payment at the discharge port, if the "BG" is accepted by the Seller;
7) Upon arrival at the port of discharge, and (after the succesfull tests are issued, such as : "Dip Test" and "SGS" Report LIFTABLE), the Buyer will have to release payment by “TT” to the Seller’s Bank within 24 hours; the financial documents must be confirmed by a Top 50 bank. And as soon as the Seller receives payment, the Seller’s Bank will pay the commissions, according to what was stated in Consultancy fees in the (NCNDAs/IMFPA/SUB-IMFPA) what will be paid simultaneously by the Seller Bank upon closure of each lift.

SCHEDULE OF DELIVERIES
TOTAL QUANTITY OF MAZUT-100 (GOST 10585-75) PURCHASE TO BE 6,000,000 MT (SIX MILLION METRIC TONS) “+/-5%” DELIVERED OVER SHIPMENTS / VESSELS, WITH POSSIBLE ROLLS AND EXTENSIONS SUBJECT TO MUTUAL CONSENT, COST, INSURANCE, FREIGHT (C.I.F.) AS PER CONTRACT AND SHALL BE DELIVERED UNDER THE FOLLOWING TERMS AND CONDITIONS:
THE BASIS DELIVERY FOR AT SHIPMENT IS 500,000 MT (FIVE HUNDRED THOUSAND METRIC TONS) IN 1ST MONTH, AFTER CHARGING, MORE "(x11) ELEVEN MONTHS" WITH 500,000 MT.
