CONTRACT FOR THE SALES AND PURCHASE OF
NIGERIA LIGHT CRUDE OIL, WHICH TRANSFERS THE OIL TANKER ON THE SEA TO CHINA ONSHORE SELLER’S STORAGE TANKS
尼日利亚轻质原油，油船在中国海域运送到中国岸上卖方储罐中的购销合同

采购数量我们都可以接受.(每次交易200万桶。
We can accept any purchase quantity. 2,000,000 barrels is for each delivery.
DELIVERY: ONSHORE SELLER’S STORAGE TANKS IN HUANGDAO, QINGDAO AND LANSHAN PORT.
交付:黄島、青島、嵐山港卖家岸上儲罐
This is the transaction procedures which Buyer can accept to work with on the terms.
这是买家能接受的条款交易流程。
If Seller agrees the transaction procedures provided by Buyer, please provide SPA to Buyer for amending.

TRANSACTION PROCEDURE:
交易流程
Original Proof of Product: To be provided by Seller's Bank to Buyer's Bank via Swift. But the colorful scanned copy shall be firstly sent to Buyer by Seller.
供货原始POP证明文件.由卖家银行通过SWIFT提供给买家银行，但彩色扫描复件卖家要先提供给买家。
1. The Seller provides SPA and ATS, including colorful scanned copies of full POP documents. After signing Contract by both parties, the Buyer returns to Seller via e-mail which has legal binding.
1. 卖方发送销售购买协议和授杈销售证书(ATS) 包括全套POP文件的彩色扫描复印件。双方签定合同后买家电子邮件回传卖方，是具有法侓效力的
2、Seller gives buyer the contact information of his shipping agent and captain of vessel. Buyer contacts with Seller's shipping agent and captain of vessel to confirm the cargo is belong to seller or seller have right to sell（NEED AUTHORITY LETTER OF SALE）.
2、买家提供其船代和船长的联系信息给买家，买家联系卖家船务代理和船长以确认该批货属于卖家或者卖家有权销售(需要有授权证明)。
3. After Seller via Seller's Bank issuing non-operative 2%PB via MT760 (Appendix A) to Buyer's Bank, Buyer's Bank will send the amount of US $80,000,000 via Swift MT700 (Appendix B) to Seller's fiduciary bank account to purchase 2,000,000 barrels Nigerian light crude oil and to activate the 2%PB.
3. 卖家通过卖家银行用MT760开出不工作的2%PB（附件A）给买家银行后，买方银行通过 SWIFT 发送MT700金额80.000.000美元 (（附件B）给卖方的信托银行账户来购买200万桶尼日利亚轻质原油并激活2%PB。
Note: The bank account to receive MT700 must be the owner of cargo or the authorized agent of the cargo (must present the authority letter of sale
The Buyer Bank’s Swift MT700 bank instrument shall be issued by Buyer’s Company account or Buyer-affiliated account, and executes the signed Contract. (Within 48 hours after receiving Seller's 2%PB by the Buyer, the Buyer will re-nominate MT700 issuing Company and account.)
注意：买方银行Swift使用MT700给卖家银行是买家公司或联合买家的帐号开出的银行工具并执行签章的合同. (买家收到卖家开出的2%PB后48小时内重新指定MT 700开证公司和账号。)
4. Seller's shipping agent contacts with Buyer and Buyer's shipping agent to discuss the matters of inward port.
4. 卖家船务代理通知买家以及买家船务代理联系进港事项。
5. Seller provides DTA format document to Buyer for filling in and returning to Seller.
5. 卖方提供DTA格式文件给买家填寫并回传卖家。
6. Seller moves the Vessel and move to berth, and unload the crude oil to storage tanks in Chinese Bonded Warehouse provided by the Seller. Both parties conduct DTA and pick up Bonny Light Crude Oil sample in Chinese Bonded Warehouse to apply CIQ Inspection. (The fees of picking up sample for CIQ Inspection are responsible by the buyer).
6. 卖家將油船靠港將原油缷进卖家提供的中国保税庫储罐，并双方进行DTA在中国保税庫提取邦尼轻质原油样品进行CIQ检测。（CIQ提取样品申请检测的费用由买方负责。）
Note: the Seller shall pay leasing storage tanks fees. When the Buyer is making payment via MT103 TT, will deduct and pay to Seller.
注意：卖家先支付承租储罐费用，由买家在MT103TT的同時退还并支付卖家。
6. Within 48 hours CIQ issues Inspection Certificate to both Buyer and Seller. Within 2 days after Seller receiving CIQ Inspection Certificate, the Seller shall deliver all original POP documents, original document of warehouse warrant tank storage receipt (TSR) of Chinese Bonded Warehouse and DTA, original document of invoice for full cargo and original document of Ownership Transfer Notice to Buyer's Bank via courier. Upon the satisfactory results by Buyer’s Banks, Buyer's Bank will make payment via MT103 to Seller's Bank immediately. (The POP, documents and invoice referred in this clause are all original documents.) The bank account to receive payment of cargo via MT103 must be the owner of cargo or the authorized agent of the cargo (must present the authority letter of sale.
6. CIQ在48小時发布检测证书给买方和卖方.卖方在收到CIQ检测证书后2日内，卖方必须将所有原始的POP全部文件、中国保税库入库单储罐收据(TSR)和DTA、货物全额发票和货权转移通知书的原始文件，卖方用快递邮寄到买方银行。买方银行确认无误后，买方银行立即开出MT103付款给卖方银行(本条所提及的pop、文件和发票全部是原始文件)。
Note: When the Buyer is making payment via MT103, he will pay and return Seller’s leasing storage tank fees.

7. After confirming Buyer's MT103 wire transfer, the Seller will via Seller's Bank transfer the Ownership of cargo to Buyer's Bank automatically, and the Buyer pays $4 /bbl Commission to all involve agents simultaneously.
7. 卖方确认过买方的MT103电汇后，将通过卖方银行將货物所有权自动转移给买方银行,同时买方支付4美金/桶的佣金给所有相关代理。

3买方银行发送RWAＴ１９９金额80.000.000美元资金证明（附件A）给卖方的信托银行账户来购买200万桶尼日利亚轻质原油。
Note: The Buyer Bank’s RWAＭＴ１９９ bank instrument to Seller Bank shall be issued by Buyer’s Company account or Buyer-affiliated account, and executes the signed Contract.
注意：买方银行发送RWA ＭＴ１９９给卖家银行是买家公司或联合买家的帐号开出的银行工具并执行签章的合同.
4. Seller's shipping agent contacts with Buyer and Buyer's shipping agent to discuss the matters of inward port.

5. Seller provides DTA format document to Buyer for filling in and returning to Seller.
5. 卖方提供DTA格式文件给买家填寫并回传卖家。
6. Seller moves the Vessel and move to berth, and unload the crude oil to storage tanks in Chinese Bonded Warehouse provided by the Seller. Both parties conduct DTA and pick up Bonny Light Crude Oil sample in Chinese Bonded Warehouse to apply CIQ Inspection. (The fees of picking up sample for CIQ Inspection are responsible by the buyer).

Within 2 days after Seller receiving CIQ Inspection Certificate, the Seller shall deliver all original POP documents, original document of warehouse warrant tank storage receipt (TSR) of Chinese Bonded Warehouse and DTA, original document of invoice for full cargo and original document of Ownership Transfer Notice to Buyer's Bank via courier. Upon the satisfactory results by Buyer’s Banks, Buyer's Bank will make payment via MT103 to Seller's Bank immediately.
