Buyer for CEMENT CLINKER Contract is 800,000 M/T liftable in 30,000 M/T per shipment

1. CLINKER having the contractual minimum guaranteed Specifications as per “Annex A” herewith   attached as an integral part of this Contract.

1. The total contractual quantity of the commodity sold and purchased under this Contract is 800,000 M/T liftable in 30,000 M/T per shipment to be delivered as per schedule and 30,000 M/T to be delivered per month for Ten (10) consecutive calendar months commencing on the date of first shipment, which will take place within thirteen (15) days excluding all paper works after Seller’s receipt of Buyer’s payment instrument via SBLC/BG MT760 or any other mode of payment requested in our sphere of operando.
2. The Monthly Supply will be delivered in accordance with the agreed delivery schedule pursuant to Clause

3. Each cargo delivered in a month shall be referred to herein as "Monthly Lot".
4. The initial quantity to commence the Contract will start with an average of 30,000 M/T (+/-5%) for the first two months, (30,000 M/T X 2 shipments). After the successful delivery, The Contract will have the possibility for Roll Over and Extensions.
5. An Independent Surveyor SGS at the loading port at the expense of the Seller shall assess the quantity of each shipment of CLINKER. Re-inspection at discharge port, shall be at the expense of the buyer

6. The Certificate of weight issued by SGS prior to each shipment at port of loading shall determine the total quantity of each shipment and the Bill of Lading of shipment delivered to Buyer, which is in conformity with the SGS certificate of quantity.

1. The monthly quantities to be delivered hereunder shall be delivered in shipment lots of minimum 30,000 M/T per first months to maximum of 30,000 M/T shipment monthly.


1. The purchased commodity will be paid by Irrevocable, Transferable, Revolving, Divisible, Fully Funded SBLC/BG MT760 issued by a WORLD CLASS or LOCAL BANK, allowing payment 30 days after sail of vessel by T/T (Telegraphic Transfer). All banking charges outside the issuing bank are for beneficiary’s account.

2. The Clinker is to cover the amount in United States Dollars corresponding to the liftable shipment value of 30,000 MT goods; after the successful delivery of the product, payment covering the amount in United States Dollars corresponding to the total value of 30,000 M/T of the cargo will be made by T/T (Telegraphic Transfer) to the Seller’s account.
3. All invoices must be paid without offset, counterclaim or deduction
4. If payment due date falls on a banking holiday then payment shall be made on or before the nearest preceding business day to the due date.
5. Any deviation from the above payment terms is subject to acceptance by the SELLER.
